The Derivative Action in Asia: An Inconvenient Truth
D r Puchniak will be presenting the major findings from his forthcoming co-edited and co-authored book, “The Derivative Action in Asia: A Comparative and Functional approach” (Cambridge University Press). He will explain how the derivative action in Asia provides a useful lens for re-evaluating several of the foundational theories in “Asian” and comparative corporate law. Using this lens, he will argue that the cultural theory of “Asian non-litigiousness” should be relegated to the dustbin of academic history and that three important universal theories in comparative corporate law (i.e., common law superiority, economic rationality and convergence) are fundamentally flawed. Ultimately, Dr. Puchniak will suggest that “Asian” and comparative corporate law should replace its lust for grand universal theories with a quest for understanding, rather than avoiding, the complex reality that is necessary to accurately understand this burgeoning field of scholarship.

Timothy Spangler will speak on the topic “One Step Ahead - Hedge Funds and Private Equity Funds after the Global Financial Crisis”. The recent Global Financial Crisis sparked a wave of regulatory reform. This seminar will consider the impact of these reforms on the regulation and operation of hedge funds and private equity funds: ·What are the limitations of these reforms and what have they accomplished?
·What changes have fund managers and participants adopted in the absence of comprehensive regulatory reform to private funds vehicles?
·What is the impact in terms of how funds are structured and documented?
·What does the future hold for hedge funds and private equity funds in Australia? Speaker: Timothy Spangler is a lawyer who divides his professional time between London and New York. His practice focuses on forming and structuring investment vehicles. He advises on a wide variety of funds, including hedge funds, private equity funds, venture capital funds, mezzanine funds, film funds and funds of funds. He is the author of The Law of Private Investment Funds (Oxford University Press 2008) and the editor of Investment Management: Law and Practice (Oxford University Press 2010). He is also an Adjunct Professor at the UCLA School of Law, where he lectures on the regulation of financial services and investment products.

Directors’ Duties and the Centro Judgment - Twilight Seminars Melbourne and Sydney
The Centro judgment, in which the Federal Court found that eight Centro directors and executives failed in their duties when they approved the company’s accounts, is one of the most important judgments in recent years in the areas of corporate law and corporate governance. Some of the many issues raised in the judgment include: · The responsibility of directors for the financial accounts including, according to the court, the responsibility of all directors to read, understand and focus on their companies’ financial statements. · What is required for directors to have what the court referred to as the necessary level of financial literacy and what are the implications for the appointment of directors? · What is necessary for directors to undertake what the court referred to as “proper diligence” in relation to the financial statements? · What is the right balance between relying on others for the accuracy of the financial statements (such as the chief financial officer, the auditors, the audit committee and directors with financial expertise) and the need for proper diligence by all directors? · What board processes (including deciding what information the board receives) can help in ensuring that the board focuses on what is important – including the financial statements – and not be swamped with information and documents? · Has this judgment set the standard too high for non-executive directors?
This twilight seminar, which is being held in both Sydney and Melbourne, brings together leading speakers to discuss these and other topics.

The UNCITRAL model legislation on International Commercial Arbitration has been introduced in NSW and it is only a matter of time before it is adopted in Victoria.

University of Melbourne, CCLSR - The Care Factor: The Care, Skill and Diligence Standard for Directors after ASIC v Rich
In this important seminar at which leading speakers will participate, the following topics will be discussed:
• What is the standard?
- Differences (and relationship) between the general law and statutory duties - Significance of a corporation's circumstances, and each director's particular responsibilities - Minimum standards of skill and diligence - Availability or relevance of shareholder ratification
• The business judgment rule - What is it and does it really matter?
In ASIC v Rich Justice Austin provides one of the first comprehensive judicial analyses of the business judgment rule in s 180(2) of the Corporations Act. The judgment addresses the big mostly unanswered questions for directors and officers like: What is a business judgment? Who bears the onus of proof? Is there a common law business judgment rule? What does the business judgment rule require? What is the effect of the requirement for a “rational belief”?
• Staying out of trouble - Lessons from the GFC and the Rich decision on practical steps to comply with directors’ duties: - meetings and minutes - bullet-proofing in the deal context - significance of special roles and skills - role of professional advisers
